These Terms of Service (“Terms”) govern your access to and use of the Sleepwise.ai website, platform, and related services (together, the “Service”) operated by Sleepwise.ai (“we”, “us”, “our”). By signing up or using the Service, you agree to these Terms.
1. Eligibility and account
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and complete information when registering and keep it up to date.
2. Use of the Service
We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your own business use in accordance with these Terms and any plan or feature limits that apply to your account. You agree to:
- Use the Service only for lawful purposes and in compliance with applicable laws.
- Not misuse the Service (e.g. no reverse engineering, circumventing access controls, or overloading our systems).
- Not use the Service to harm, harass, or infringe the rights of others.
- Ensure that any content or data you upload (e.g. property information, guest data) is accurate and that you have the right to use and share it.
3. Your content and data
You retain ownership of the content and data you submit to the Service. By using the Service, you grant us a licence to use, store, process, and display that content and data as necessary to provide and improve the Service, and as described in our Privacy Policy. You are responsible for ensuring that your content does not violate any third-party rights or applicable law.
4. Subscription, trial, and payment
Paid plans and any free trial are offered subject to the pricing and conditions stated on our website and in your account. Billing is processed via Stripe. You agree to provide valid payment details and authorise us to charge your chosen payment method in accordance with your plan. Fees are generally charged in advance (e.g. monthly or annually). Refunds are handled in line with our refund policy as stated at the time of purchase; otherwise, fees are non-refundable except where required by law. We may change fees with reasonable notice; continued use after a fee change constitutes acceptance.
5. Bookings and guest interactions
If you use the Service to accept bookings, you are responsible for your relationship with guests and for complying with any applicable laws (e.g. hospitality, consumer protection, tax). We do not guarantee the behaviour of guests or the success of any booking. Payment handling between you and guests (if any) may be subject to separate terms or third-party services.
6. Disclaimers
The Service is provided “as is” and “as available”. We disclaim all warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. You use the Service at your own risk.
7. Limitation of liability
To the maximum extent permitted by law, we (and our affiliates, directors, employees, and agents) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service or these Terms. Our total liability for any claims arising from or related to the Service or these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, the above limitations may not fully apply to you.
8. Indemnification
You agree to indemnify and hold harmless Sleepwise.ai and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content or data, your breach of these Terms, or any violation of law or third-party rights.
9. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you breach these Terms or for other reasons (e.g. non-payment, abuse) with or without notice where permitted. Upon termination, your right to use the Service ceases. We may retain and use your data as permitted by law and our Privacy Policy.
10. Changes to the Service and Terms
We may modify the Service or these Terms from time to time. We will notify you of material changes to the Terms (e.g. by email or a notice in the Service) and will indicate the updated “Last updated” date. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
11. General
These Terms constitute the entire agreement between you and Sleepwise.ai regarding the Service and supersede any prior agreements. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision does not waive that right or provision. These Terms are governed by the laws of Belgium, without regard to conflict of laws principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Belgium, unless mandatory consumer law in your country requires otherwise.
